Giám đốc có thuộc đối tượng phải đóng bảo hiểm bắt buộc theo quy định của pháp luật Việt Nam hay không? Trong những trường hợp nào thì Giám đốc sẽ không phải đóng bảo hiểm bắt buộc theo quy định của pháp luật Việt Nam?

Các quy định của pháp luật lao động không nhắc đến các chức danh quản lý trong doanh nghiệp nên để xem xét quy định về chức danh Giám đốc thì cần phải dựa vào quy định pháp luật về doanh nghiệp. Cụ thể, theo Điều 4.24 Luật Doanh nghiệp 2020, Giám đốc là một trong các đối tượng thuộc nhóm người quản lý doanh nghiệp. Trong đó, chức danh Giám đốc vẫn có thể vừa là NSDLĐ và là NLĐ. Vì vậy, nếu tồn tại HĐLĐ và có hưởng lương của doanh nghiệp thì người quản lý doanh nghiệp vẫn phải đóng các loại bảo hiểm bắt buộc theo quy định của pháp luật, cụ thể như sau:

Đối với BHXH: Căn cứ Luật Bảo hiểm xã hội 2014 và Điều 30.4 Thông tư số 59/2015/TT-BLĐTBXH thì việc tham gia BHXH là bắt buộc đối với người quản lý doanh nghiệp có hưởng tiền lương của doanhnghiệp, trừ các viên chức quản lý chuyên trách trong công ty trách nhiệm hữu hạn một thành viên do Nhà nước làm chủ sở hữu.

Đối với BHYT: Căn cứ Điều 12.1a Luật BHYT áp dụng đối với NLĐ làm việctheo HĐLĐ khôngxác định thời hạn, HĐLĐ có thời hạn từ đủ 3 tháng trở lên; NLĐ là người quản lý doanhnghiệp hưởng tiền lương; cán bộ, công chức, viên chức.

Đối với BNTN: Căn cứ Điều 43.1.b Luật Việc làm đối với những đối tượng có giao kết HĐLĐ hoặc hợp đồng làm việc xác định thời hạn.

Như vậy, theo quy định của pháp luật lao động nêu trên thì Giám đốc nói riêng và người quản lý doanh nghiệp nói chung đều thuộc đối tượng phải đóng các loại bảo hiểm bắt buộc theo quy định của pháp luật nếu có giao kết HĐLĐ và có trả lương1.

Chỉ đối với các trường hợp Giám đốc hoặc Người quản lý doanh nghiệp không có ràng buộc về HĐLĐ với doanh nghiệp thì sẽ không phát sinh nghĩa vụ đóng các loại bảo hiểm bắt buộc theo quy định của pháp luật.

Managerial positions of the enterprise are not mentioned in labour law, so, in order to consider the regulations on the position of the company's director, it is necessaryto rely on the regulations of the law on enterprises. Specifically, according to Article 4.24 of the Law on Enterprise 2020, the director is one of the subjects in the group of company executives. In which, the director title can still be both an employer and an employee.Therefore, if there is an employment contract that the company pays the salary, the business executive still has to pay the compulsory insurance according to the law, specifically:

For Social insurance: Pursuant to the provisions of the Law on Social Insurance 2014 and Article30.4 of Circular No. 59/2015/TT-BLDTBXH, participation in social insurance is compulsory for business executives who receive salaries from enterprises, except for full-time management officers in one-member limited liability companies owned by the State.

For Health insurance: Pursuant to Article 12.1(a) of the Law on Health Insurance, applicable to employees working under indefinite-term or at least full three-month employment contracts; business managers receiving salaries; officials and civil servants.

For Unemployment insurance: Pursuant to the provisions of Article 43.1(b) of the Law on Employment, the insurance applies to those who have entered into an employment contract or a working contract.

Thus, according to the provisions of the labour law mentioned above, the director of the company in particular and the executives of the enterprises, in general, are subject to the

compulsory insurance payments under the provisions of Vietnamese law if they have signed employment contracts that pay salaries1.

Only in cases where the directors of the company or the executives of the enterprise are not bound by the employment contracts with the enterprise, there will be no obligation to pay compulsory insurance accordingto the provisions of Vietnamese law.
